v2026-10-15-70-30 · Divine Music Group Inc., Delaware, USA · 2026-10-15
1. Operator and acceptance
Divine Music Group is operated by Divine Music Group Inc., Delaware, USA.
New acceptance is recorded only after you explicitly confirm the identified document version in the platform within your own authority. Registration, a language change and earlier browser-only marks are not backfilled as acceptance of this version. No handwritten signature is required for that electronic acceptance.
2. Platform scope
DMG provides digital distribution and related technology services for music and video content. This may include DDEX-based metadata and delivery, analytics, administration, AI-assisted tools, marketplace services, moderation, royalty reporting, payout workflows, and UGC or Content ID administration where applicable.
DMG may deliver or administer content across third-party platforms such as Spotify, Apple Music, Deezer, TIDAL, Amazon Music, Beatport and other platforms, stores, social services and monetization channels.
3. Account eligibility and account integrity
- You must be at least 18 years old or otherwise have legal authority to enter into this agreement.
- You must provide accurate, current and complete account information.
- You must keep login credentials secure and notify DMG of unauthorized access.
- DMG may request identity, business, tax, banking or compliance information at any time.
4. Rights you grant to DMG
You grant DMG the rights necessary to host, reproduce, encode, transmit, distribute, license, monetize, advertise, administer and otherwise use submitted content for the purpose of providing the services.
This includes, where applicable, delivery to third-party platforms, previews, thumbnails, metadata administration, YouTube-related administration, UGC administration and related digital exploitation mechanics required to operate the platform.
5. Your warranties and responsibilities
- You own or control all rights, permissions and clearances necessary for the content you submit.
- Your metadata, artwork, credits, identifiers and ownership information are accurate and complete.
- Your content does not infringe copyright, trademark, privacy, publicity, contractual or other third-party rights.
- You will not submit content subject to conflicting grants that prevent DMG from providing the services.
6. Platform discretion and content controls
DMG may review uploads, metadata, artwork, account behavior, payout activity and platform conduct at any time.
DMG may reject, remove, suspend, restrict, refuse or stop servicing any content, account or activity in its sole discretion where quality, rights, compliance, fraud risk, platform rules, legal exposure or reputational risk justify action.
7. Royalties, accounting and payouts
Net Receipts are amounts actually received by DMG and attributable to your content, after evidenced source adjustments and applicable deductions. For newly accepted terms, unless otherwise agreed in writing, 70% is allocated to the Licensor and 30% to DMG. The DMG share is not deducted again when a payout is requested.
DMG accounts through the platform on a monthly basis and may rely fully on reports and statements provided by third-party platforms, sublicensees and payment counterparties.
- Payouts may be made by bank transfer or another payout method used by DMG.
- You are responsible for bank fees, intermediary charges and taxes.
- Any objection to a statement must be made within one year of the relevant statement date.
8. Holds, reversals and offsets
DMG may freeze, hold, delay, withhold or offset revenues if it reasonably believes that content, account activity or payouts violate these Terms, platform rules, law or third-party rights.
If DMG has a good-faith basis to conclude that revenues result from fraud, infringement or other prohibited conduct, those revenues may be withheld, forfeited, reversed or denied.
- DMG may deduct legal fees, penalties, damages, chargebacks, recoupable costs and related losses from monies otherwise payable.
- Future payments may be withheld or offset where necessary to satisfy these amounts.
9. KYC, AML and tax compliance
DMG may require identity documents, tax forms, banking verification, beneficial ownership information or other KYC and AML materials before making payouts.
Failure to provide requested documentation may result in payout suspension, service restriction or termination.
10. Prohibited conduct
- Artificial streaming, fake engagement, chart manipulation or royalty inflation.
- Uploading unauthorized content or making false ownership claims.
- Submitting false, misleading or deceptive metadata.
- Using agencies, promoters, marketers or third parties to carry out prohibited conduct.
- Providing false identity, banking or payout information.
11. Term and termination
These Terms continue from the effective date until terminated. Either party may terminate on ninety days’ prior written notice by email.
DMG may suspend or terminate faster where fraud, infringement, compliance concerns, legal risk, payment risk or operational risk justify immediate action.
Termination does not affect accounting, authorized exploitations, unpaid claims, ongoing holds, offsets, investigations or surviving obligations.
12. Privacy
DMG processes personal data in accordance with its Privacy Policy and applicable law.
13. Limitation of liability
To the maximum extent permitted by law, DMG’s liability is limited to the amount of Net Receipts actually due and unpaid to you at the time of the claim.
- DMG is not liable for indirect, incidental, punitive or consequential damages.
- DMG is not liable for lost profits, lost data, reputational harm or losses caused by third-party platforms.
- Services are provided on an as available basis to the fullest extent permitted by law.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising out of or in connection with these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, United States.
To the maximum extent permitted by law, the User agrees not to seek to restrain, enjoin, or otherwise interfere with DMG’s operations, except where required by applicable law.
15. Updates and language
DMG may publish an updated version. A new required acceptance is separately presented and recorded; publishing or translating a text does not rewrite an earlier acceptance.
If translations are provided, the English version prevails in the event of conflict.
Version, operator and actual service availability
Version 2026-10-15-70-30; operator: Divine Music Group Inc., Delaware, USA. New acceptance is explicit and recorded with the document version and content fingerprint. Earlier texts and acceptance history remain separate. A language change is not a change of contracting company.
The Russian branch is a separate inactive draft for ООО «Дивайн», INN 7404072540, OGRN 1207400004030, pending confirmation of company details, legal conditions, tax treatment and data infrastructure. It is not activated by registration or by choosing Russian as the interface language.
Manual payout requests reserve a gross recipient reward. Approval is not payment. A completed external transfer requires separate administrator confirmation. Any applicable tax withholding and an explicitly configured withdrawal fee are shown separately from the net transfer; an unknown amount is not treated as zero. RUB and USD are separate; no automatic exchange is performed. Current request thresholds are 3000 RUB and 50 USD, subject to an actually supported and reviewed payment method.
Profiles, documents, automated payment providers and country selection do not by themselves establish tax residence, beneficial ownership or payment readiness. Private documents and recipient versions must be checked. A required NPD receipt is handled after actual receipt of the income, not as proof of a transfer that has not occurred.
The service currently uses Supabase, Cloudflare and an SMTP transport. Exact processing and storage regions, retention and transfer safeguards must be confirmed for each applicable operator and purpose. An AI feature receives only authorized compact aggregates when separately enabled; no new AI generation is enabled by accepting these documents.
