Licence Agreement
Edition of 21 October 2026. Divine LLC (Russia). Russian is the original.
English presentation. The Russian original prevails; language does not change the company or version.
1. Parties and acceptance
1.1. The contracting party and personal data operator is Divine LLC, Russia (ООО «Дивайн», DMG), INN 7404072540, KPP 740401001, OGRN 1207400004030. Address: apartment 37, building 24, Severo-Zapad 2 quarter, Zlatoust, Chelyabinsk region, 456234, Russia. General Director Gleb Stanislavovich Chashchikhin acts under the Charter. Contact: legal@divinemusicgroup.net.
1.2. The agreement is concluded by the user's explicit confirmation of a specific version in the cabinet, personally or with verified representative authority. Viewing a page, choosing Russian, submitting Join or receiving an invitation does not itself accept the licence. The version, party, subject matter and confirmation date are recorded. A new version does not automatically replace earlier acceptance. Russian is the original; the English presentation does not change the Russian contracting party.
2. Subject matter and identification
2.1. The licensor grants an exclusive licence solely for delivered compositions, performances, recordings, video, artwork and agreed materials identified in the cabinet by title, contributors, file version and actual ISRC/UPC or internal identifiers. Without an industry code the object is identified by retained catalogue details. The licence does not alienate authorship, moral rights or the entire future undelivered catalogue. Co-owners and representatives establish the necessary authority.
2.2. Separately supplied advertising photographs and other promotional materials are not included in the exclusive music licence merely because they are uploaded or described as agreed materials. They require only the necessary non-exclusive copyright permission for specific advertising purposes; DMG acquires no exclusive copyright in photographs. This distinction does not change the exclusivity of the granted music rights.
3. Uses and limits
3.1. Worldwide and within rights actually held by the licensor, DMG may reproduce, store and technically convert objects for digital delivery, distribute copies, make them available, broadcast, communicate by cable and publicly perform through relevant services, and grant necessary platform and counterparty sublicences within this agreement. Format conversion and technical preparation do not authorise distortion. Exclusivity covers only granted rights and uses; ungranted rights remain with the licensor. Moral rights are unaffected.
3.2. The artist retains the right to use the supplied materials independently without additional DMG permission. The artist may enter agreements with third parties provided that they do not infringe the exclusive licence granted to DMG, existing agreements or third-party rights. This is an express self-use reservation under Article 1236(1.1) of the Russian Civil Code, not a conversion of DMG's licence into a non-exclusive one. No overlapping third-party licences or mandates may be granted for the same objects, uses, territories and periods exclusively granted to DMG. The same recording must not be delivered through another distributor to the same platforms for an overlapping period, nor may conflicting collective-administration or synchronisation mandates be issued. Non-overlapping agreements and the artist's own performances, publications and promotion remain permitted subject to existing agreements and third-party rights. Distribution ends through a notice, not file replacement or draft deletion.
3.3. The exclusive right is not assigned to DMG. An object enters the catalogue after delivery and acceptance of sufficient identifying information, not merely because a draft or credit exists. Rights to music and lyrics, performance, recording, video and visual materials, controlled shares and restrictions are separate. Delivering a recording does not establish copyright in the composition. Overlapping rights are not granted to others during exclusivity; earlier agreements are disclosed and do not automatically terminate. A sublicence cannot expand the original subject matter, uses, territory or term.
4. Remuneration and accounting
4.1. The calculation base is remuneration due to DMG for use of the relevant content under platform and counterparty reports, with attributable documented refunds and adjustments. Fees and deductions already reflected by the counterparty are not deducted twice. Distribution and collective rights administration allocate 70% to the right holder and 30% to DMG. Synchronisation allocates 50% to each party, without an additional 30% deduction from the same sum. Revenue categories are accounted for separately.
4.2. DMG's share is allocated once on accrual and is not deducted again on payout. DMG's own taxes and expenses do not reduce the base or licensor's remuneration without a separately and expressly agreed basis or legal requirement. Reporting and cash receipt are separate: amounts not yet received by DMG are shown as expected; only actually received and attributable funds are available for payout, except amounts restricted on substantiated grounds. A counterparty report sufficient for calculation is reflected in the cabinet within 30 calendar days; DMG identifies portions requiring clarification. Reporting errors are corrected through a separate adjustment specifying period and grounds, not a concealed replacement of prior accounting.
4.3. An agreed split version takes effect from the month in which all required parties accept it, using Moscow time, and applies to the usage period rather than the report upload date. Previous reports and accruals are not retrospectively redistributed. Agreement on shares does not establish authorship, licensing authority or authority to receive another person's money. Report corrections retain an auditable history and do not create duplicate accruals.
4.4. A split allocates recipients' remuneration after DMG's share and creates no additional fee. A late report uses the allocation applicable to its usage period. A participant who is not a right holder is not automatically declared one: before payment a specific agreement must establish entitlement to the relevant funds and the parties' obligations; a name in a split is insufficient.
4.5. The ordinary request minimum is RUB 3,000 or USD 50. Currencies are separate, without automatic netting or conversion. Manual payment is made within 30 calendar days after receipt of a complete request and verification of payment details, authority, contractual basis, tax status and documents necessary for the particular case. Missing information and reasons for suspension are communicated to the recipient. Approval does not establish a bank transfer. Registration does not require a passport scan or selfie; their absence does not mean the recipient is automatically verified.
4.6. Actual bank charges are borne by the recipient without a DMG markup. Statutory tax withholding is shown separately with its calculation basis. On termination, the remaining balance is payable even below the ordinary minimum following final accounting and necessary checks; later receipts for prior use remain subject to subsequent settlement. Unsubstantiated penalties and unrelated expenses do not authorise arbitrary royalty deductions.
4.7. Each party meets its own tax obligations. Where DMG is a statutory tax agent, it calculates, withholds and remits tax as required by law. Recipients report changes in payment details and tax status; profile edits do not automatically replace the snapshot of an existing request. Accrual, tax, bank charge and transfer total are separate. An NPD recipient supplies a receipt after actually receiving income as required by law, where that income qualifies for NPD. DMG's own taxes and social contributions are not presented as recipient tax; no DMG VAT exemption is assumed without a confirmed basis. A USD balance does not oblige DMG to make an unlawful currency transfer.
5. Collective administration
5.1. DMG is authorised worldwide to register identified repertoire, represent the right holder, administer and collect remuneration from collective management organisations and other authorised payers solely within the granted copyright or neighbouring rights. Organisation-specific forms, powers of attorney and evidence of shares and authority are completed separately when required. The agreement does not certify completed registration with any organisation or extend beyond the licensor's rights.
5.2. DMG may reconcile accruals, claim omitted or misallocated amounts and engage publishers and administrators within granted authority. Duplicate claims to the same share, period and use are prohibited. Mandatory direct payments to an author or performer are not declared unconditionally payable to DMG. The right holder discloses prior membership and overlapping mandates. On termination DMG submits necessary notices, settles accounts and accounts for late receipts; CMO processing time creates no perpetual licence. The agreement does not give DMG CMO status or guarantee collection in every country.
6. Synchronisation
6.1. Within the granted rights, DMG is authorised in advance to negotiate and conclude synchronisation deals incorporating compositions, performances and recordings into audiovisual works, advertising, games and other agreed outputs, with necessary reproduction, distribution, public performance, communication and making available. Copyright and neighbouring rights are checked separately. Ordinary deals do not require fresh artist approval each time; object-specific restrictions are recorded on delivery. Third-party rights are not included without actual permission.
6.2. After authority ends DMG concludes no new synchronisation deals for withdrawn objects. Previously concluded deals continue to be performed by DMG only within their subject matter, uses, territory and term, retaining only rights necessary for that performance, accounting and right-holder payments. This does not confer indefinite control over the catalogue or cover new objects or expansion of a previous deal without a new basis.
7. Duration and withdrawal
7.1. For each delivered object the licence runs from its agreed delivery until withdrawal by the artist, within the duration of the relevant right. The confirmed ‘Delete track’ cabinet action gives notice withdrawing that object from further distribution. A mandatory email and a general 90-day waiting period are not required. Receipt of notice is recorded separately from actual platform removal. Deleting a draft or individual audio file does not terminate the licence for an already released object. Special provisions apply only where an actual separate agreement exists.
7.2. DMG submits removal to platforms and records progress without guaranteeing a removal date outside its control. Accounting for prior use, lawful reporting and rights necessary for previously concluded deals survive, but not authority for new exploitation after its basis ends. A dispute or platform delay does not erase the recorded notice.
8. Warranties and disputes
8.1. The licensor warrants rights to delivered objects, accurate metadata and no conflicting obligations; DMG is responsible for acting within granted authority. Claims follow anti-fraud and rights-complaint procedures with verifiable grounds for financial adjustments. Russian law and mandatory protections apply. Image advertising consent and photographer rights are separate and are not inferred from this licence.
