DMG may edit, standardize, reformat, reject or request correction of metadata or assets where necessary for delivery, compliance, quality control, technical standards or platform requirements.
DMG may rely on the data you provide and is not obligated to independently verify ownership, authorship, contributor roles, metadata accuracy or legal clearance.
7. User Representations and Warranties
- You own or control all rights necessary to submit the Content and grant the rights described in this Agreement.
- The Content, metadata and materials you submit are accurate, complete and not misleading.

8. Royalties, Net Receipts and Revenue Split
DMG will account to you based on Net Receipts actually received by DMG in connection with your Content.
For newly accepted terms, unless otherwise agreed in writing, the revenue split is 70% to the Licensor and 30% to DMG. Previously accepted versions and already published earnings are not rewritten.
All royalty reporting, accounting and payment calculations may be based on statements, reports and data received from Third-Party Platforms, sublicensees, processors, collection partners and other relevant counterparties.
You agree that DMG may rely entirely on reports and data received from Third-Party Platforms, and such reports shall be final and binding for the purposes of accounting.
You have no right to audit DMG’s books, records or accounts.
9. Payment Terms and Payout Conditions
Payments are made only from Net Receipts actually received by DMG.
DMG may issue payouts by bank transfer or by any other payment method made available through the platform.

10. Fraud, Improper Conduct and Streaming Manipulation
You may not engage in, assist with, benefit from or permit fraudulent activity in connection with your account or Content.
The use of a third-party marketing, promotional or audience-growth service does not excuse a violation. You remain fully responsible for all conduct by third parties acting for you or connected to your releases.
You may not create multiple accounts or attempt to bypass restrictions, suspensions or enforcement actions imposed by DMG.
Where DMG reasonably suspects fraud, infringement, manipulation or other improper conduct, DMG may place holds on payouts, withhold revenues, reverse revenues, reclaim amounts already paid, deduct penalties, damages, legal costs, platform charges and investigation costs, remove or disable Content, suspend distribution, restrict or terminate the account, refuse future services, and report the matter to Third-Party Platforms, business partners or authorities where appropriate.

DMG may also require updated documents at any time where reasonably necessary for compliance, security, audit or risk review.
Failure to provide requested documents in a timely and satisfactory manner may result in payout suspension, account restriction, distribution suspension, refusal of further services or termination of this Agreement.
12. Takedowns, Removals and Platform Discretion
DMG may review, reject, remove, suspend, restrict or stop distributing any Content or account activity at any time in its sole discretion.
DMG may take such action where it determines, or reasonably believes, that action is appropriate in connection with legal compliance, DSP requirements, anti-fraud enforcement, rights claims, metadata errors, quality control issues, policy violations, reputational risk, technical concerns or operational risk.
DMG is not responsible for the actions, policies or decisions of Third-Party Platforms, including removal of content, monetization decisions, reporting or payment delays.
Content may be removed, restricted or made unavailable at any time by DMG or Third-Party Platforms.
DMG is not required to maintain any Content live on any platform and is not liable for removals, refusals or suspensions by DMG or any Third-Party Platform.
13. Term and Termination
This Agreement begins on the effective date and continues until terminated.
Either party may terminate this Agreement for convenience by giving ninety days’ prior written notice by email.
DMG may suspend, restrict or terminate this Agreement immediately, or with shorter notice, where reasonably necessary in connection with breach, fraud, infringement, compliance failures, legal or regulatory risk, KYC or AML deficiencies, DSP complaints, or operational, reputational or security risk.
Termination does not affect rights already granted for exploitations authorized during the term, accounting already in progress, or outstanding claims, offsets, deductions or holds.
The provisions relating to payments, fraud, indemnification, limitation of liability and dispute resolution shall survive termination of this Agreement.
14. Limitation of Liability

16. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any dispute arising out of or in connection with this Agreement or the Services shall be resolved exclusively in the state or federal courts located in Delaware, United States.
To the maximum extent permitted by law, you agree not to seek to restrain, enjoin or otherwise interfere with DMG’s operations, platform relationships or ongoing service activities, except where required by applicable law.
17. Amendments and Miscellaneous

Version, operator and actual service availability
Version 2026-10-15-70-30; operator: Divine Music Group Inc., Delaware, USA. New acceptance is explicit and recorded with the document version and content fingerprint. Earlier texts and acceptance history remain separate. A language change is not a change of contracting company.
The Russian branch is a separate inactive draft for ООО «Дивайн», INN 7404072540, OGRN 1207400004030, pending confirmation of company details, legal conditions, tax treatment and data infrastructure. It is not activated by registration or by choosing Russian as the interface language.
Manual payout requests reserve a gross recipient reward. Approval is not payment. A completed external transfer requires separate administrator confirmation. Any applicable tax withholding and an explicitly configured withdrawal fee are shown separately from the net transfer; an unknown amount is not treated as zero. RUB and USD are separate; no automatic exchange is performed. Current request thresholds are 3000 RUB and 50 USD, subject to an actually supported and reviewed payment method.
Profiles, documents, automated payment providers and country selection do not by themselves establish tax residence, beneficial ownership or payment readiness. Private documents and recipient versions must be checked. A required NPD receipt is handled after actual receipt of the income, not as proof of a transfer that has not occurred.
The service currently uses Supabase, Cloudflare and an SMTP transport. Exact processing and storage regions, retention and transfer safeguards must be confirmed for each applicable operator and purpose. An AI feature receives only authorized compact aggregates when separately enabled; no new AI generation is enabled by accepting these documents.
